Partner Terms

These Partner Terms are an agreement between you and JLW Holdings LLC, doing business as Onyx Works (“Onyx Works,” “we,” “us”). You accept them by checking the box when you sign up as a referral partner. If you sign up on behalf of a business, you confirm you are allowed to.

You introduce people who could use our services, by sharing your referral link or by telling us who you've sent. There is no quota, no fee to join, and no selling required on your part.

• The client books through your referral link, or tells us you sent them before they sign with us.
• They sign with us within 12 months of that first booking or introduction.
• They were not already a client of ours, or already in an active conversation with us, when you referred them.
• If more than one partner refers the same client, the first referral we received gets the credit.

10% of every referral's setup fee, plus 10% of their first three monthly payments. The fee is calculated on what the client actually pays us, not on the price quoted.

If the client never signs, or never pays, nothing is owed. If we refund a client, no fee is owed on the refunded amount; if that fee was already paid, we deduct it from your next payout.

• Your share of the setup fee: within 14 days after we receive the client's final setup payment.
• Your share of each of the first three monthly payments: within 14 days after we receive that payment.
• We pay by bank transfer or check, whichever you prefer, and tell you by email each time a payout is sent.

Referral fees are paid to you as an independent business, not as wages, and you are responsible for any taxes on them. We don't ask for tax forms at sign-up. If U.S. tax law requires us to report what we pay you, we'll ask you for a Form W-9 before that payment.

• Describe us honestly. Don't promise results, prices, discounts or guarantees on our behalf; we set those with each client directly.
• If your profession or the law requires you to tell clients you may receive a referral fee (accountants, attorneys and insurance professionals often have such rules), you are responsible for doing so.
• Don't send unsolicited bulk email or texts using our name or your referral link.

You are an independent referral partner, not an employee, agent or reseller. You can't sign anything or make commitments for Onyx Works. The arrangement is not exclusive on either side.

Either of us can end the partnership at any time by email. Fees for clients who signed before it ended are still paid on the schedule above. We may end it immediately if these terms are broken, and in that case no further fees are owed for clients you referred while breaking them.

We may update these terms by emailing you at least 30 days before the change takes effect. A change never reduces a fee you've already earned on a client who has signed.

These terms are governed by the laws of Maryland, and any dispute will be handled in the courts of Charles County, Maryland.
